1. INTRODUCTION

Welcome to Everdistro.

These Terms of Service ("Terms") govern your access to and use of Everdistro's distribution, royalty management, reporting, content administration, digital asset management, and related services (collectively, the "Service").

By creating an account, uploading content, accessing the platform, or using any part of the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Service.

2. DEFINITIONS

Agreement means these Terms and any related policies published by Everdistro.
Client means any artist, label, rights holder, company, organization, or individual using the Service.
Content means recordings, compositions, artwork, metadata, videos, lyrics, digital assets, and related materials submitted through the Service.
DSPs means Digital Service Providers including streaming platforms, download stores, social media platforms, Content ID systems, and other distribution destinations.
Net Royalties means royalties actually received by Everdistro after deductions for applicable fees, taxes, commissions, payment processing fees, chargebacks, adjustments, and third party costs.
Platform means the Everdistro website, dashboard, applications, APIs, and related systems.

3. OWNERSHIP

Everdistro does not claim ownership of your copyrights.

Except for the rights granted under this Agreement, all ownership rights remain with the Client.

The Client retains ownership of:

Sound recordings
Musical compositions
Artwork
Trademarks
Metadata
Associated intellectual property

Nothing in this Agreement transfers ownership of the Client's copyrights to Everdistro.

4. RIGHTS GRANTED TO EVERDISTRO

The Client grants Everdistro a non-exclusive worldwide license to:

Distribute Content
Reproduce Content
Deliver Content to third parties
Monetize Content
Collect royalties
Administer metadata
Process reporting
Perform content management activities

Everdistro may sublicense these rights to distribution partners, collection partners, licensors, technology providers, Content ID systems, and DSPs as necessary to provide the Service.

5. CLIENT WARRANTIES

The Client represents and warrants that:

They own or control all necessary rights.
The Content does not infringe third party rights.
All contributors have been properly authorized.
Metadata is accurate.
The Content complies with applicable laws.

The Client remains solely responsible for all Content submitted.

6. DISTRIBUTION

Everdistro will use commercially reasonable efforts to distribute Content to selected platforms.

Everdistro does not guarantee:

Acceptance by any DSP.
Placement on playlists.
Editorial support.
Specific revenue levels.
Continued availability on any platform.

DSPs maintain full discretion regarding availability and removal.

7. ROYALTIES

Royalties are calculated based upon amounts actually received by Everdistro.

Payments may be subject to:

Processing fees
Taxes
Currency conversion costs
Collection costs
Partner commissions
Chargebacks
Fraud reviews
Ownership disputes

Only cleared and verified royalties are eligible for withdrawal.

8. REPORTING

Reports are generated using information received from third party reporting providers.

Reporting may be delayed, revised, incomplete, corrected, or adjusted.

Dashboard figures are provided for informational purposes and may be updated as additional information becomes available.

Everdistro does not guarantee:

Accuracy of third party reports
Timing of reports
Availability of reports
Performance of partner systems

9. REPORTING DISPUTES

If reporting discrepancies are identified:

Everdistro may investigate the matter.
Everdistro may contact relevant partners.
Everdistro may request additional information.

During any active investigation:

Payments may be temporarily delayed.
Reports may be adjusted.
Statements may be revised.

An ongoing investigation shall not constitute a breach of this Agreement.

10. FRAUD PREVENTION

Everdistro reserves the right to investigate:

Artificial streaming
Fraudulent activity
Manipulated traffic
Invalid monetization
Platform abuse
Suspicious behavior

Everdistro may:

Withhold royalties
Suspend accounts
Remove content
Reverse payments
Terminate accounts

when fraud is reasonably suspected.

11. CONTENT REMOVAL

The Client may request removal of Content.

Everdistro will submit removal requests to applicable partners.

Removal timelines depend upon third party systems and are not guaranteed.

12. CONFIDENTIALITY

Clients agree to keep confidential:

Internal reporting
Business processes
Partner relationships
Financial information
Platform integrations
Technical systems
Non public communications

Confidential information may not be disclosed without prior written consent.

13. AUDITS

Clients may request an audit of Everdistro's records no more than once per calendar year.

Audits must:

Be conducted by a certified independent accountant.
Be preceded by reasonable written notice.
Be subject to confidentiality obligations.

The Client bears audit costs.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Everdistro shall not be liable for:

Lost profits
Lost opportunities
Lost revenue
Indirect damages
Consequential damages
Platform outages
Reporting delays
Third party actions

Everdistro's total liability shall not exceed the amount paid by Everdistro to the Client during the preceding twelve months.

15. INDEMNIFICATION

The Client agrees to defend, indemnify, and hold harmless Everdistro and its affiliates from claims arising from:

Submitted Content
Copyright disputes
Trademark disputes
Ownership disputes
Metadata inaccuracies
Breach of these Terms

16. SUSPENSION AND TERMINATION

Everdistro may suspend or terminate accounts if:

These Terms are violated.
Fraud is suspected.
Rights ownership is disputed.
Legal obligations require action.
Platform integrity is threatened.

Termination does not eliminate obligations accrued before termination.

17. FORCE MAJEURE

Everdistro shall not be liable for delays or failures caused by:

Natural disasters
Government actions
Wars
Cyber attacks
Platform outages
Third party failures
Events beyond reasonable control

18. GOVERNING LAW

These Terms shall be governed by the laws applicable to Everdistro's principal place of business.

The parties agree to attempt good faith negotiation before commencing legal proceedings.

19. ENTIRE AGREEMENT

These Terms constitute the entire agreement between Everdistro and the Client regarding the Service.

Any prior understandings are superseded by these Terms.
